Acceptance of These Terms
These Terms of Use ("Terms") govern your access to and use of valtorum.com, USDV-related websites, documentation, dashboards, interfaces, materials, and any related features that link to these Terms (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
Valtorum and USDV
Valtorum is developing the USDV ecosystem: a synthetic decentralized dollar architecture designed around diversified reserves, multi-chain deployment, transparent reserve visibility, self-custody access, and governance-defined risk controls.
Unless we expressly state otherwise in a separate written agreement, website materials are provided for informational and technical purposes only. They do not create a bank account, deposit account, brokerage account, fiduciary relationship, advisory relationship, partnership, joint venture, or agency relationship between you and Valtorum.
USDV and related protocol components may involve smart contracts, public blockchain networks, bridges, oracles, reserve assets, liquidity pools, and third-party infrastructure. These systems can be experimental, volatile, and subject to failure.
Eligibility and Compliance
You may use the Services only if you can legally do so. You are responsible for complying with laws that apply to you, including laws relating to digital assets, sanctions, anti-money laundering, securities, commodities, tax, export controls, consumer protection, and data protection.
You may not use the Services if you are located in, organized under the laws of, or ordinarily resident in a jurisdiction where access is prohibited by Valtorum or applicable law; if you are the subject of sanctions; or if your use would cause Valtorum, you, or another person to violate applicable law.
Valtorum may restrict, suspend, geo-block, or discontinue access to any interface where required for legal, security, risk, or operational reasons.
Self-Custody and Wallet Responsibility
Valtorum does not control your wallet, private keys, seed phrase, or on-chain transactions. You are solely responsible for safeguarding credentials, verifying transaction details, maintaining wallet security, and understanding the consequences of signing blockchain transactions.
Blockchain transactions may be irreversible. If you send assets to the wrong address, interact with a malicious contract, lose access to your wallet, disclose your seed phrase, or approve unintended permissions, Valtorum may not be able to recover your assets.
Never share your private key, seed phrase, recovery file, or signing credentials with anyone claiming to represent Valtorum.
Risk Disclosures
Digital assets and decentralized systems involve significant risk. You should not use USDV-related systems unless you understand and accept the risks, including:
- Peg and liquidity risk: USDV may deviate from its intended reference value due to market stress, liquidity constraints, oracle issues, reserve impairment, arbitrage failure, or governance decisions.
- Reserve risk: reserve assets may include stablecoins, tokenized treasuries, government-bond exposure, gold-linked assets, crypto collateral, and cross-chain pools. Each asset type has issuer, custody, redemption, market, legal, and operational risk.
- Smart contract risk: bugs, exploits, upgrade errors, governance attacks, admin-key failures, or integration mistakes may cause loss.
- Oracle and data risk: pricing, reserve, supply, and collateral data may be delayed, wrong, manipulated, incomplete, or unavailable.
- Bridge and chain risk: XRPL, Stellar, Solana, Sui, Ethereum, and related bridges or messaging systems may experience outages, congestion, reorganizations, validator issues, exploits, or fee spikes.
- Regulatory risk: laws and regulatory interpretations may change, affecting access, liquidity, reserves, listings, redemption, or protocol operation.
- No insurance: USDV, digital assets, and non-deposit products are not bank deposits and are not insured by the FDIC, SIPC, or any government deposit insurance program unless a separate written disclosure expressly says otherwise.
No Investment, Legal, Tax, or Financial Advice
Nothing on the Services is investment, legal, tax, accounting, financial, trading, or other professional advice. Valtorum does not recommend that you buy, sell, hold, mint, redeem, bridge, borrow against, lend, stake, or otherwise use any digital asset.
You should consult your own advisors before making decisions involving USDV, digital assets, reserves, governance participation, taxes, or compliance obligations.
Prohibited Use
You may not use the Services to:
- Violate law, sanctions, export controls, or third-party rights.
- Commit fraud, money laundering, terrorist financing, market manipulation, evasion, phishing, theft, or other harmful activity.
- Attempt to exploit, disrupt, overload, reverse engineer, scrape abusively, or compromise any website, interface, API, smart contract, or infrastructure.
- Misrepresent affiliation with Valtorum, USDV, governance participants, reserve participants, settlement operators, or ecosystem partners.
- Upload malware, attempt unauthorized access, or interfere with security controls.
Third-Party Services and Public Networks
The Services may link to wallets, explorers, blockchains, bridges, exchanges, analytics providers, documentation, or other third-party services. Valtorum does not control third-party services and is not responsible for their content, availability, security, fees, policies, or conduct.
Your use of third-party services may be governed by separate terms and privacy policies. Review them carefully before connecting a wallet or transmitting assets.
Intellectual Property
The Valtorum name, USDV materials, logos, graphics, interface designs, written content, data presentation, and other materials are owned by Valtorum or its licensors, except for open-source materials or third-party marks used with attribution or nominative reference.
You may not copy, modify, imply endorsement, or use Valtorum brand assets in a misleading way. Developer documentation, APIs, code examples, or open-source materials may be subject to separate licenses.
Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Valtorum disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and uninterrupted operation.
Valtorum does not guarantee that USDV will maintain any target value, that reserves will be sufficient in every scenario, that dashboards will be error-free, that third-party infrastructure will work, or that any digital asset will be liquid, legal, redeemable, or free from loss.
Limitation of Liability
To the maximum extent permitted by law, Valtorum and its contributors, affiliates, service providers, officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages; lost profits; lost revenue; loss of data; loss of goodwill; or loss of digital assets arising from or relating to the Services.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you. In those jurisdictions, liability is limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Valtorum and its contributors, affiliates, service providers, officers, directors, employees, and agents from claims, damages, liabilities, losses, and expenses arising from your use of the Services, your violation of these Terms, your violation of law, your wallet activity, or your infringement of third-party rights.
Changes to Services or Terms
Valtorum may update the Services or these Terms as the protocol, reserves, interfaces, legal requirements, and ecosystem evolve. The effective date above shows when this version became effective. Continued use after changes means you accept the updated Terms.
We may suspend, modify, restrict, or discontinue any feature, interface, page, dashboard, or access route at any time, including for security, maintenance, legal, governance, or risk reasons.
Disputes and Governing Law
These Terms are governed by applicable law, without limiting mandatory consumer rights that cannot be waived. Any dispute will be handled in the forum and under the process designated by Valtorum for the relevant product or service, unless applicable law requires otherwise.
Because Valtorum is pre-launch and may operate through specific legal entities or regulated structures, jurisdiction-specific dispute language may be added or revised before any regulated service, mint/redeem flow, or user agreement is made available.
